This YoYu Provider Service Agreement (“Agreement”, “Terms”) governs the relationship between YOYU LTD (“YoYu”, “we”, “us”, “our”) and any wellness service provider, practitioner, business, or organisation (“Provider”, “you”, “your”) who registers for a Provider profile or uses the YoYu platform.

By registering as a Provider, submitting an application, purchasing a subscription or verification service, or using the YoYu website (www.yoyu.life), you agree to be bound by this Agreement. If you do not agree to these Terms, you must not register or submit your information to YoYu.

1. ABOUT YOYU

YoYu Limited provides an online platform that:

  • Lists wellness service Providers
  • Publishes Provider profiles
  • Enables Users to discover and contact Providers
  • Offers an optional verification badge process
  • Hosts and advertises events submitted by Providers or wellness organisations

YoYu does not provide treatment, therapy, coaching, or wellness services. YoYu is not an intermediary, recruiter, agent, or employer of Providers. All services offered to clients are delivered independently and solely by the Provider.

2. ELIGIBILITY

To register as a Provider on YoYu, you must:

  • Be at least 18 years old
  • Provide accurate, truthful information
  • Hold appropriate qualifications for the services you offer (where applicable)
  • Maintain active professional insurance if required for your field
  • Comply with all relevant UK laws, regulations, and professional standards

YoYu may accept or reject any application at its sole discretion.

3. INCORPORATION OF YOYU POLICIES (REQUIRED ACCEPTANCE)

By registering as a Provider, submitting information, subscribing, or using the YoYu platform, you acknowledge and agree that this Agreement operates alongside, and incorporates by reference, the following YoYu policies, all of which form part of your contractual obligations:

  • YoYu Website Terms & Conditions
  • YoYu Privacy Policy
  • YoYu Data Processing Agreement (DPA)
  • YoYu Verification Policy in Terms & Conditions
  • YoYu Event Listing Policy in Terms & Conditions

You confirm that you have read, understood, and agree to comply with all applicable YoYu policies. In the event of any conflict, the terms of this Provider Service Agreement take precedence for matters relating specifically to Providers.

4. PROVIDER ACCOUNT & PROFILE

4.1 Registration Requirements

Providers must submit accurate information including:

  • Name and contact details
  • Qualifications, registrations, and insurance (as applicable)
  • Biography and service descriptions
  • Profile photo(s)

4.2 Accuracy of Information

You agree to:

  • Keep all information accurate, complete, and up to date
  • Notify YoYu immediately of any changes to qualifications, insurance status, or regulatory standing
  • Only represent services you are professionally qualified and insured (where required) to provide

4.3 Profile Display

Once approved, your profile will be publicly visible. YoYu may adjust formatting (not substantive content) for clarity, design alignment, and readability.

5. SUBSCRIPTIONS, PAYMENTS & FEES

5.1 Fees

The Provider agrees to pay all applicable subscription fees, verification badge fees, event listing fees, and any other charges as set out on the YoYu website or otherwise agreed in writing.

Available Provider options include:

  • Standard Subscription: £20 per month (minimum 3-month commitment; £60 payable upfront).

  • Verification Badge: £50 annual fee for the first year and £25 from the second year (available only to Providers with an active subscription).

All fees are non-refundable except where required by law.

YoYu may, at its sole discretion, offer promotional, introductory, or discounted rates for limited periods. Such offers are subject to their stated terms, conditions, and eligibility criteria. Promotional or launch rates apply only for the expressly stated period and do not constitute ongoing or permanent pricing guarantees.

Nothing in this clause affects fees already agreed and confirmed at checkout for an active billing period, unless expressly stated otherwise.

5.2 Minimum Term

The minimum subscription term is three (3) months, payable upfront. Following completion of the minimum term, subscriptions renew in accordance with clause 5.3 unless cancelled.

5.3 Automatic Renewal

Unless cancelled in accordance with this Agreement, subscriptions automatically renew at the end of each billing cycle for the same duration as the most recent billing period.

The Provider is solely responsible for monitoring renewal dates and managing cancellations via their account settings prior to the applicable renewal date. YoYu does not provide renewal reminders.

If cancellation is not completed before the renewal date, the subscription will automatically renew and the applicable renewal fee will be charged in accordance with the selected billing cycle.

5.4 Payment Processing

Payments are processed securely via Stripe. YoYu does not store card details.

By subscribing, the Provider authorises:

  • Recurring payments in accordance with the selected billing cycle;

  • Automatic renewal unless cancelled prior to renewal; and

  • Stripe and YoYu to process all applicable charges.

5.5 Price Changes

YoYu reserves the right to amend its pricing structure, including subscription, verification badge, and event listing fees, at its discretion.

Any pricing changes will be notified in advance and will take effect from the Provider’s next renewal date. Price changes will not affect the remainder of the current billing period.

5.6 No Refunds

Except where required by law, YoYu does not provide refunds for:

  • Change of mind;

  • Early cancellation;

  • Failure to complete verification or meet verification criteria;

  • Non-use of the platform; or

  • Expired or unused event listings.

6. VERIFICATION BADGE PROCESS

YoYu may, at its sole discretion, offer promotional, introductory, or discounted subscription rates or other incentives for limited periods.

All such offers are subject to their stated terms, conditions, and eligibility criteria. YoYu reserves the right to amend, suspend, or withdraw any promotional offer in accordance with those terms.

Nothing in this clause shall affect subscription fees already agreed and confirmed at checkout for an active subscription unless otherwise expressly stated.

6.1 Optional Service

Verification is an optional service. Only certain Provider categories are eligible (see YoYu Verification Policy).

6.2 Requirements

Applicants may be required to submit:

  • Qualifications and professional registrations
  • Insurance documentation
  • Identity confirmation
  • Any additional evidence reasonably required by YoYu

6.3 Verification Outcome

YoYu may approve, decline, or request further information. The verification fee is non-refundable, including where an application is not approved.

6.4 Nature of Verification

Verification confirms that YoYu has checked certain documentation. It does not guarantee outcomes, service quality, or professional competence.

7. PROVIDER OBLIGATIONS

Providers must:

  • Deliver services independently, safely, and ethically
  • Maintain valid professional insurance (where required)
  • Comply with all applicable professional standards and legal obligations
  • Not misrepresent qualifications, experience, or services
  • Respond to User enquiries within a reasonable timeframe
  • Not use YoYu to advertise illegal, unsafe, misleading, or inappropriate services
  • Notify YoYu immediately of any professional sanctions, suspensions, regulatory issues, or legal constraints affecting service delivery

YoYu may request evidence of compliance at any time.

8. USER INTERACTIONS

8.1 Direct Communication

Users may contact Providers directly using the details available on their profile.

8.2 Sole Responsibility

All communications, advice, bookings, payments, and services exchanged between Users and Providers are solely between those parties. YoYu is not involved in, nor responsible for, any part of the Provider–User relationship.

9. EVENT LISTINGS

YoYu may, at its sole discretion, offer promotional, introductory, or discounted subscription rates or other incentives for limited periods.

All such offers are subject to their stated terms, conditions, and eligibility criteria. YoYu reserves the right to amend, suspend, or withdraw any promotional offer in accordance with those terms.

Nothing in this clause shall affect subscription fees already agreed and confirmed at checkout for an active subscription unless otherwise expressly stated.

Providers and wellness organisations may submit listings for:

  • One-off events
  • Workshops
  • Classes
  • Retreats
  • Multi-session programmes
  • Ongoing studio schedules

Pricing, durations, and key terms are outlined on the YoYu Events page and in the YoYu Event Listing Policy in the Terms and Conditions. 

YoYu may refuse, edit, or remove listings that:

  • Misrepresent information
  • Breach YoYu standards or brand values
  • Are unsafe, inappropriate, or unlawful

10. PLATFORM AVAILABILITY

YoYu aims to maintain reliable access to the platform but does not guarantee:

  • Continuous uptime
  • Error-free or uninterrupted service
  • Absence of bugs or technical issues
  • Specific response or loading times

Maintenance, updates, or interruptions may occur without prior notice.

11. CONTENT & INTELLECTUAL PROPERTY

11.1 Provider Content

By uploading content, you grant YoYu a non-exclusive, worldwide, royalty-free licence to:

  • Display and publish your content on the platform
  • Use your profile and event details to promote your listing and/or YoYu
  • Reformat content as necessary for usability and display

You retain ownership of your content.

11.2 YoYu Intellectual Property

All website content, branding, design, and platform technology are the exclusive property of YoYu or its licensors. Providers may not copy, reproduce, distribute, or use YoYu’s intellectual property without prior written consent.

12. PROHIBITED CONDUCT

Providers must not:

  • Submit false, misleading, or incomplete information
  • Engage in spam, harassment, or misuse of the platform
  • Copy, scrape, or harvest data from YoYu
  • Promote illegal, unethical, or harmful practices
  • Impersonate another individual or business
  • Infringe any intellectual property or other proprietary rights

YoYu may suspend or terminate any Provider for breach of these Terms.

13. TERMINATION & SUSPENSION

YoYu may suspend or remove a Provider profile, withdraw verification status, or restrict access where necessary, including in cases of:

  • Professional misconduct or complaints
  • Insurance lapses
  • Regulatory or disciplinary issues
  • Inaccurate, misleading, or inappropriate information
  • Non-payment or chargeback
  • Breach of this Agreement or any incorporated YoYu policy
  • Behaviour incompatible with YoYu’s brand values

Providers may request account removal at any time. Removal does not entitle the Provider to any refund of fees already paid.

14. COMPLAINTS & INVESTIGATIONS

The Provider acknowledges that YoYu may receive complaints relating to the Provider’s listing, representations, qualifications, conduct on the platform, or verification status.

YoYu may, at its sole discretion and without prior notice, investigate complaints, request documentation, suspend or amend listings, revoke verification badges, or suspend or terminate subscriptions.

The Provider agrees to cooperate fully and promptly with any investigation.

Complaints relating to professional treatment or regulated services remain solely the Provider’s responsibility.

YoYu’s determinations following review shall be final, subject to applicable law.

15. DISCLAIMERS

YoYu:

  • Does not guarantee the accuracy or completeness of Provider content
  • Does not endorse, recommend, or warrant any Provider
  • Does not guarantee enquiries, leads, bookings, or income
  • Is not responsible for the conduct of Providers or Users
  • Provides the platform on an “as is” and “as available” basis, without warranties of any kind (whether express or implied)

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, YoYu is not liable for:

  • Loss of income, clients, business, or opportunities
  • Loss of reputation or goodwill
  • Errors, omissions, or inaccuracies in Provider-submitted content
  • Acts or omissions of Users or Providers
  • Service outcomes, client satisfaction, or any treatment results
  • Indirect, consequential, or incidental damages of any kind

YoYu’s total aggregate liability arising out of or in connection with this Agreement is limited to the total subscription fees paid by the Provider to YoYu in the 12 months immediately preceding the event giving rise to the claim.

17. DATA PROTECTION

YoYu processes personal data in accordance with:

  • UK GDPR
  • Data Protection Act 2018
  • YoYu’s Privacy Policy
  • YoYu’s Data Processing Agreement (DPA)

Providers must also comply with all applicable data protection laws when handling personal data of Users or any third parties. The DPA (set out as Annex A below) forms an integral part of this Agreement.

18. CHANGES TO THESE TERMS

YoYu may update this Agreement from time to time. Updates will be published on the YoYu website with an updated “Last Updated” date. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

19. GOVERNING LAW AND JURISDICTION

This Agreement and Data Processing Agreement is governed by the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
